By downloading, installing, or using Parrot Scribe ("Software"), you agree to be bound by the terms of this Agreement. If you do not agree, do not download, install, or use the Software.
You must be at least 18 years old, or the age of majority in your jurisdiction, whichever is higher, to use this Software.
Subject to the terms of this Agreement, the Licensor grants the applicable license holder a limited, non-exclusive, non-transferable, revocable license to use the Software for personal or commercial purposes. The license holder is either the individual purchaser of a personal license or the organization identified in an organization license order.
Every person downloading, installing, activating, or using the Software must ensure that they are authorized to do so on that device. This requirement applies to free use, trials, paid licenses, complimentary grants, and internal licenses. For organization-owned, organization-provided, or organization-managed devices, each person must obtain any permission the organization requires before downloading, installing, activating, or using the Software. This Software license does not override owner or administrator policies.
The Software's free feature set may be used without a license key or account. Paid features require a purchased license or an active trial.
The Software includes an optional free trial of the paid feature tier, with the duration stated when the trial is offered in the Software. When the trial period ends, the Software reverts to the free feature set; continued use of paid features requires a purchased license.
Upon purchasing a personal license, you may activate the Software on the number of devices specified by your license tier. Devices must be under your primary control. This includes devices you own personally, devices owned by members of your household, and devices provided to you for your exclusive use, such as a work computer assigned to you. You may deactivate and reactivate devices as permitted through the Software's license management interface. A personal license may not be shared with or transferred to individuals outside your household.
Team and Sovereign licenses are organization licenses issued to the organization identified in the applicable order. The organization may authorize its personnel to use the Software within the purchased limits and is responsible for their compliance with this Agreement. A Team license uses the Licensor's vendor portal for organization license management. A Sovereign license may use an approved sovereign server for organization license management when that capability is included in the applicable order. Organization licenses may not be transferred to another organization without the Licensor's written consent.
Every paid fixed-term license automatically renews through Paddle for the same term unless you cancel before the renewal date. This applies to paid Pro, Team, and Sovereign fixed-term licenses, including one-year, multi-year, and negotiated calendar terms. Access starts when payment succeeds. The paid commercial term starts at the next midnight in the contract timezone stated for the license, except that a payment made exactly at that local midnight starts the term immediately.
Before purchase, the checkout disclosure identifies the initial price and term, automatic-renewal cadence, renewal date, and renewal price then scheduled, together with applicable taxes. Paddle is the merchant of record and processes payment and renewal for paid fixed-term licenses.
You may cancel before renewal through the Paddle customer portal or account link provided with your purchase. A cancellation scheduled through Paddle prevents the next renewal. It does not shorten the term already paid for, and your access continues through the end of that paid commercial term, subject to this Agreement. A canceled subscription requires a new purchase before paid access can begin again.
If a renewal payment fails, the subscription may become past due. The Licensor provides a seven-calendar-day grace period after the paid commercial term ends while Paddle retries or resolves payment. Paddle recovery may continue after the seven-calendar-day access grace, and access may be suspended during recovery. Successful payment recovery for the same subscription keeps the original renewal date and paid-term schedule. The renewed commercial term begins at the preceding commercial term end regardless of when recovery succeeds. If access was suspended, it resumes when payment succeeds. A genuinely new subscription remains a new purchase and uses the purchase anchoring described above.
The renewal price is the price disclosed for the upcoming renewal, including any price change communicated in advance. Paddle or the Licensor will provide notice of a price change before it applies as required by applicable law. If you do not accept the changed renewal price, cancel before the renewal date.
Pro Lifetime, trials, complimentary grants, and internal licenses do not renew automatically. Pro Lifetime is a paid perpetual Pro license. Trials are fixed-term and end on the stated trial date. Complimentary and internal licenses follow the term stated when they are issued. Perpetual Team or Sovereign access may be issued only as a complimentary or internal grant and is not a paid product.
Purchased licenses and trials require activation via an Internet connection to the Licensor's servers. The Licensor may verify your license status periodically. You may not circumvent, disable, or tamper with the activation mechanism.
Activated licenses require periodic online validation. If validation cannot be completed, licensed functionality may be suspended until validation succeeds.
The Software does not run a separate analytics or telemetry service and does not otherwise collect or transmit usage data. When the Software activates or validates a license, or starts a trial, its request to the Licensor's servers includes basic device metadata: the Mac model, the macOS version, and the application version. These fields describe the device and software rather than you, and are used only for license management and compatibility. The activation and validation requests described in the Activation and Online Validation sections above also include your license key and a one-way hash of a hardware identifier, used to enforce your license's device limit. An installation that is never activated and never starts a trial transmits none of this data.
You may not:
You may not use the name "Parrot Scribe", the name "Johan Thorén", or any trademarks or logos of the Licensor to endorse or promote products or services without prior written permission from the Licensor.
You retain all rights to any audio recordings, transcriptions, or other content you create using the Software ("User Content"). The Licensor claims no ownership or rights over your User Content.
You are solely responsible for your User Content and your use of the Software. This includes, but is not limited to:
Recording Consent: Obtaining all necessary consents and permissions from individuals before recording them. Laws regarding recording consent vary by jurisdiction. It is your responsibility to understand and comply with the laws that apply to you.
Copyright Compliance: Ensuring that your recordings and transcriptions do not infringe the intellectual property rights of others.
Privacy Compliance: Complying with all applicable privacy and data protection laws, including but not limited to GDPR, HIPAA, and other regulations that may apply to your use of the Software.
Confidentiality: Respecting any confidentiality obligations you may have regarding the content you record or transcribe.
Accuracy Verification: Verifying the accuracy of any transcriptions before relying on them. Transcriptions are generated automatically and may contain errors.
The Licensor does not access, collect, store, or process your User Content. Your User Content is stored locally on your device in a location you can configure. If you use a storage location that syncs with cloud services (such as iCloud), your User Content may be transmitted to and stored by those services according to their terms and privacy policies. The Licensor is not responsible for any third-party cloud services you choose to use.
The Software is a neutral tool that can be used for lawful or unlawful purposes. The Licensor has no control over, and assumes no responsibility for, how you use the Software. The Licensor is not responsible for any illegal, unauthorized, or improper use of the Software by you or any third party. Any use of the Software in violation of applicable laws is strictly prohibited and solely at your own risk.
By using the Software, you acknowledge that:
THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
THE LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY TRANSCRIPTIONS WILL BE ACCURATE OR COMPLETE.
THE SOFTWARE IS NOT INTENDED FOR USE IN SITUATIONS WHERE ERRORS OR INACCURACIES COULD LEAD TO DEATH, PERSONAL INJURY, OR SEVERE PHYSICAL OR ENVIRONMENTAL DAMAGE.
TRANSCRIPTIONS PRODUCED BY THE SOFTWARE SHOULD NOT BE RELIED UPON FOR LEGAL, MEDICAL, EVIDENTIARY, OR OTHER CRITICAL PURPOSES WITHOUT INDEPENDENT VERIFICATION.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF THE LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FOR ALL LIABILITY NOT EXCLUDED UNDER THE PRECEDING PARAGRAPH, THE LICENSOR'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SOFTWARE SHALL NOT EXCEED THE AMOUNT, IF ANY, PAID FOR THE LICENSE OR SUBSCRIPTION TERM THAT GAVE RISE TO THE CLAIM.
THE LICENSOR SHALL NOT BE LIABLE FOR ANY CLAIMS, DAMAGES, OR LIABILITY ARISING FROM YOUR USER CONTENT OR YOUR USE OF THE SOFTWARE IN VIOLATION OF APPLICABLE LAWS.
NOTHING IN THIS AGREEMENT EXCLUDES OR LIMITS ANY LIABILITY OR REMEDY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED.
You agree to indemnify, defend, and hold harmless the Licensor from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
If you violate any term of this Agreement, your license terminates immediately without notice.
The Licensor may terminate this Agreement if it discontinues the Software for legitimate business reasons, with 30 days' written notice. If a paid fixed-term license is terminated by that discontinuation before its current prepaid term ends, the licensee will receive a pro-rata refund for the unused portion of that term. No other refunds are provided under this subsection.
Upon termination, you must immediately cease all use of the Software and delete all copies in your possession or control. Refunds, if any, are provided solely as described in "Termination by Licensor" above.
The following sections survive termination: User Content, No Warranty, Limitation of Liability, Indemnification, Governing Law, Ethical Use, and General.
The Licensor may provide updates to the Software from time to time. Updates are subject to the license terms in effect at the time of the update. Continued use of the Software after an update constitutes acceptance of any revised terms.
This Agreement shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law principles.
Any dispute you bring against the Licensor shall be resolved exclusively in the courts of Makati City, Metro Manila, Philippines. The Licensor may bring disputes against you in the courts of Makati City or in any court of competent jurisdiction where you reside or have assets.
The Licensor is committed to ethical business practices. You agree not to use the Software in connection with any activity that involves human trafficking, forced labor, child labor, or any form of modern slavery. Any such use is a material breach of this Agreement and will result in immediate termination of your license.
This Agreement, together with any terms presented at the time of purchase or download (including pricing, trial duration, and device limits), constitutes the entire agreement between you and the Licensor regarding the Software and supersedes all prior agreements and understandings, whether written or oral.
If any provision of this Agreement is held to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
The failure of the Licensor to enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision.
